Callum is an Associate in the Emerging Companies Team. He advises high growth early stage and/or scaling technology companies on a wide range of investment, equity incentives and commercial work.

Callum endeavours to build deep and lasting relationships with his clients and to provide them with creative, practical and commercially minded legal solutions. Callum advises a wide range of emerging technology, life sciences and digital health businesses across a broad range of sectors.

Key Experience

Callum advises venture-capital backed technology companies, their founders, and those who invest in them on a full range of corporate and commercial matters, including but not limited to:

Venture capital and equity investments (ranging from seed rounds to series C rounds and beyond of up to £60 million).
SAFEs, convertible loan agreements and advanced subscription agreements – which includes advising a global motorsport and E-sports team on a £50m convertible loan instrument, convertible into shares or tokens.
Token warrant and side letters.
Corporate structuring, including shareholders ' agreements and articles of association.
Employee equity incentive schemes – with a particular specialism in EMI share options, CSOP, and growth share schemes – which includes acting for an international luxury makeup and skincare company and a trailblazing mental health support start-up.
