Corporate Lending (Corporate)

Corporate Lending

For any of the parties involved, corporate acquisitions are invariably about meeting strict timelines and doing so using carefully structured secured corporate banking facilities. The reasons are two-fold: to make sure a new facility is balanced and can achieve its commercial objective, and that, where appropriate, this new facility dovetails seamlessly with any existing ones.

For these reasons we apply the same bundle of skills to every successful transaction: deep knowledge, commercial awareness and proven confidence. It means that we proceed with a complete understanding of the target's business, the intended evolution and development of that business, and any investment exit strategy.

We act for banks and other lending institutions, as well as for corporations, partnerships, individuals and other borrowers. We have significant experience advising on and negotiating the full range of corporate banking facilities and arrangements in connection with corporate acquisitions, including senior and mezzanine debt packages (whether for working capital or specific projects), asset-based lending solutions, factoring and receivables financing, debt securities issues and hedging arrangements. We are also well versed in dealing with re-financings, restructurings, work-outs, insolvency procedures and banking disputes. Our expertise extends to cross-border transactions and we know how to work successfully with carefully selected specialist legal counsel in other countries.
