US Expansion Programme

An accelerated learning programme for companies looking to expand to the US.

Are you planning to expand your business into the US market in the near-term future?
Join the US Expansion Programme 

This practical learning programme is designed to equip you with the tools, skills and network necessary to successfully navigate the complexities of the US market (the Programme). Tailored for companies looking to quickly acquire a comprehensive understanding of US business operations, the Programme will help you address common challenges and seize opportunities. You'll also become part of a vital cohort of like-minded businesses, enabling you to troubleshoot problems and share insights through structured group coaching. 

We will leverage the expertise of Mishcon de Reya's legal faculty, industry specialists, and our Mishcon Academy learning experts to guide you on your US expansion journey. Participants should be ready for a programme that will propel expansion plans into the US, with three in-person sessions in Mishcon de Reya’s London offices within three months, as well as mixers and networking opportunities throughout.  

Who should apply?

We are looking for 12 growth-stage companies to join us for our inaugural Programme. Participants should be: 

  • at a stage (be it by fundraising or revenue generation) where it has or will have the capital to pursue US expansion plans within the next six to twelve months;  
  • one member of your founding team or c-suite can commit to attending all three modules in Mishcon de Reya's London office; and 
  • able to evidence traction/appetite for its sector or offering in the US.  

We are looking to build a cohort which truly represents the potential of the UK, building a representative cross-section of the entrepreneurs who drive our economy. We’re building a cohort that reflects the full potential of the UK - representing the diversity of founders driving our economy forward. Modules

Split across three modules, you will spend half a day in the Mishcon de Reya offices for each module with experts in core fields to your expansion. These are in person only sessions to maximise the combined knowledge of the room, building connections that could define your routes into the US and fostering the support structure of motivated management teams.

Making the US meet your motivations and expectations

This module delves into the strategic motivations behind expanding into the US market. Companies will explore the benefits and challenges of entering this competitive landscape, including market size, customer base, and regulatory environment. Participants will learn about different corporate mechanisms to expand to the US, such as the Delaware flip, opening US subsidiaries, and others. 


Building your team and navigating immigration requirements

Navigating US employment and immigration laws is a critical aspect of expansion. This module addresses common concerns such as hiring practices, employee rights, and compliance with federal and state regulations. On the immigration side, this will also cover visa options, sponsorship requirements, and the application process.  

Companies will gain insights into creating effective employment contracts, managing workplace diversity, and understanding the nuances of US labour laws, and develop immigration strategies that align with their business goals, ensuring they can attract and retain the talent needed for US expansion. 
 

Fundraising strategies for success

Securing funding from US investors can be a game-changer for expanding companies. This module explores strategies for attracting investment, understanding investor expectations, and preparing compelling pitches. Companies will gain insights into the US fundraising landscape, including venture capital and private equity opportunities.

Navigating US tax and transfer pricing requirements 

Anil Arora (Mishcon de Reya) and Frazier Deeter

Navigating US tax laws and transfer pricing regulations is critical for compliance and financial optimisation. This module provides an overview of the US tax system, including federal and state taxes, and explores strategies for effective transfer pricing. Companies will learn how to structure their operations to minimise tax liabilities while ensuring compliance with US regulations. 

Commercial strategies to maximise opportunities 

Ashley Williams (Mishcon de Reya), Patrick Farrant (Mishcon de Reya) and Beringea VC 

Entering the US market requires a well-thought-out commercial strategy. This module focuses on market entry strategies, competitive analysis, and building a strong brand presence. Participants will explore distribution channels, pricing strategies, and partnerships that can enhance their market position and help scale revenue.


Operating in a different intellectual property and data regime 

Sally Britton (Mishcon de Reya), Conor McLaughlin (Mishcon de Reya) and James Boyle (Mishcon de Reya) 

Protecting intellectual property (IP) is crucial when entering a new market. This module examines the IP landscape in the US, including patents, trademarks, and copyrights. Companies will learn how to safeguard their innovations and brand identity, addressing concerns about infringement and enforcement. 

Managing data privacy and compliance is a significant concern for companies expanding to the US. This module provides a brief overview of key US federal and state data protection laws, including federal laws related to health data, children's data, marketing emails, and marketing calls and texts. We will also cover state laws such as the California Privacy Rights Act (CPRA, formerly known as the CCPA) and other similar state laws, as well as the recent developments in app-specific laws. Participants will learn strategies on how to implement robust data management practices that ensure compliance and build trust with customers.
