Personal Profile

John is a Legal Director in the Corporate department and is the department's leading expert in relation to partnership and limited liability partnership (LLP) matters. He particularly focuses on advising on, drafting and negotiating partnership and LLP documents and the individual terms of partnership, but also deals with partnership and LLP disputes, partner exits, interpretation of partnership and LLP documents and sales and purchases of partnerships and LLPs and their businesses.

John's wide-ranging non-contentious practice also includes advising entrepreneurs and owners of SMEs on investments, mergers and acquisitions, joint ventures and shareholders agreements both in the UK and internationally. He also frequently forms part of the team advising on contentious matters, such as shareholder disputes.

Clients appreciate John's broad business perspective and ability to quickly grasp complex structures and issues, as well his ability to act as general counsel rather than being exclusively focused on narrow areas of law.

John was admitted as a member of the Association of Partnership Practitioners in 2014.

Key Experience

  • Acted for The Freehold Corporation Limited in relation to a substantial equity and preferred equity investment from Columbia Freehold LP, a US investment fund
  • Advised Investec Bank Plc on various equity arrangements relating to substantial London property developments
  • Advised the director and 50% shareholder of a group of companies in relation to a complex shareholder dispute with a partner, ultimately resulting in the recovery of a substantial sum
  • Advising the continuing partners on a partnership dispute between the owners of a chain of care homes, resulting in a settlement and the exit of a partner
  • Advising a member of firm of venture capitalists on his exit from the LLP while retaining his carried interest. This required a restructuring of complex governing documentation with participants in the UK and several offshore jurisdictions
  • Advising two members of an LLP in relation to settlement of claims arising from their contested dismissal, which ultimately resulted in the purchase of their interests in the LLPs and connected entities in other jurisdictions for seven figure sums
  • Advising a Japanese investment house on establishing operations in the UK
  • Advising the developer and connected parties on a complex property joint venture, structured through a mix of LLPs and limited companies, in relation a significant redevelopment of a brownfield site in Middlesex
  • Advising in relation to a three-way joint venture between two property developers and a building contractor in relation to the development of prime central London residential property. This included a complex structure for dividing shares of profits between the property developers by reference to profits made on developments referred to the joint venture company by each of them
  • Advised the Shareholders of SBS Worldwide (Holdings) Limited on its sale to DSV Air & Sea Holding A/S, part of the DSV global transport and logistics group
