The Employment Department at Mishcon de Reya advises on the employment aspects of M&A transactions on deals of all shapes and sizes, from large, complex, multi-jurisdictional deals for global companies to small domestic transactions or commercial property deals.

We manage the full scope of employment related transactional work, including due diligence, drafting employment provisions, calculating employment related liabilities, and advising on benefits, incentives and bonus arrangements.  We also work with businesses to successfully navigate the post transactional period, including standardising employment contracts and managing redundancies, restructurings and dismissals.

The team has a proven track record of advising on multi-jurisdictional transactions and disputes, whether slotting in as part of a wider team to provide specialist UK focused advice, or project managing a multi-jurisdictional team in its entirety to provide a seamless service to clients.

Our lawyers have particular expertise in advising employers about the effect that TUPE can have on their potential liability, including the complex TUPE provisions that apply when taking a business out of administration.  We ensure clients are aware of their obligations in the period leading up to the transfer, guide them through the process of electing and educating representatives, and negotiate appropriate warranties and indemnities to protect them from unexpected liability.

Additionally, we act for employees who have been disadvantaged as a result of their employer failing to comply with TUPE.

Whichever side of the transaction we are on, our focus, at all times is on working with clients to find commercial and pragmatic solutions to achieve their short and longer term aims.


  • Acting as global employment counsel to a private equity firm, managing all Employment aspects of its acquisition of a large business. We provided employment advice and guidance in number of jurisdictions in relation to more than over 1000 employees. 
  • Advising a global media company on the employment aspects of a £487m acquisition. This included a number of complex TUPE aspects.
  • Acting for a client acquiring a global risk management software business, in which more than 1,500 staff were transitioned to the client in more than 60 jurisdictions (including the UK and US).
  • Advising the purchaser of the shares of a global valuation and corporate finance adviser, which involved transfers of parts of the business immediately pre and post closing.
