Mishcon de Reya secures victory for SportPesa in High Court Shareholder Dispute

Mishcon de Reya has successfully defended SportPesa, its subsidiaries and leadership in a High Court shareholder dispute, resulting in the dismissal of all claims brought by former director Paul Wanderi Ndung'u.  

The High Court of Justice in London has dismissed all claims brought by former director Paul Wanderi Ndung'u against SportPesa, its subsidiaries, and leadership. In a detailed judgment handed down on 18 November 2025, the Court found no evidence to support allegations of fraud, forgery, or improper corporate governance relating to Mr Ndung'u’s shareholding.  

In dismissing Mr Ndung'u’s claims, the Judge found amongst other things: (i) that there had been no scheme to dilute Mr Ndung'u; (ii) Mr Ndung'u had failed to properly plead any infringement of sections 561 or 562 of the Companies Act 2006; and (iii) Mr Ndung'u had not established any conduct that had caused him to suffer prejudice in his capacity as a member of SportPesa. 

The case is a relatively rare example of a claim for compensation under section 563 of the Companies Act 2006. The Judge's decision re-affirms the importance of a proper plea of causation. It is not sufficient simply to plead that "by reason of the breach of contract/statutory provision/relevant wrongdoing, the claimant has suffered loss and damage".
