Profile

Mandy’s practice focuses on complex commercial disputes, international arbitration and regulatory investigations. She has experience acting for major corporate groups, listed companies and high-net-worth individuals in a wide range of contentious matters, including disputes involving breaches of directors’ duties, shareholder disputes, asset and debt recovery, contentious intellectual property issues and a broad range of contractual claims. She has also handled regulatory investigations involving fraud, breaches of statutory obligations and employee misconduct, including matters involving Hong Kong enforcement agencies such as the Securities and Futures Commission, the Independent Commission Against Corruption, the Competition Commission and the Labour Department.

Having passed the PRC Bar Examination, Mandy also has a particular interest in cross-border disputes involving PRC parties or issues of PRC law.

Mandy is qualified to practise in Hong Kong, and England and Wales. She is fluent in English, Mandarin and Cantonese.

Arbitration

  • Advising and representing a Hong Kong-listed state-owned enterprise in defending an HKIAC arbitration concerning disputes arising out of group restructuring involving allegations of unjust enrichment for over RMB 2 billion
  • Advising a US-based and listed global chemicals and materials company in a Beijing-seated CIETAC arbitration concerning alleged trade secret infringement
  • Advising and representing a majority shareholder of a Hong Kong-listed company in defending an HKIAC arbitration concerning claims of more than HK$500 million arising from a pre-IPO investment
  • Advising and representing a PRC electric vehicle company in defending an HKIAC arbitration concerning the retention of a prepayment exceeding RMB 100 million

Litigation

  • Representing a Hong Kong construction company and its director in one of the first enforcement actions brought by the Competition Commission, concerning allegations of market sharing and bid rigging
  • Representing a global financial services institution headquartered in Europe in Hong Kong High Court proceedings concerning the trading of high-yield bonds
  • Acting for a shareholder in more than 15 High Court proceedings involving disputes over control of a multibillion-dollar conglomerate and alleged breaches of directors’ duties, including a successful application for an interim-interim injunction to restrain the implementation of disputed board resolutions
  • Defending a professional services firm in two related High Court proceedings concerning alleged breaches of fiduciary duty and unlawful means conspiracy, arising from a high-profile shareholder and boardroom dispute involving a listed company

Investigation

  • Advising and assisting the Hong Kong subsidiary of one of China’s largest conglomerates in an SFC investigation into potential management/employee negligence or misconduct relating to due diligence conducted on a dubious investment arrangement
  • Advising and assisting a Hong Kong technology company with an investigation into a former employee’s unauthorised disclosure of highly confidential information to potential competitors
