Profile Caroline is a Managing Associate in Mishcon's Life Sciences team with experience in licensing, R&D collaborations, and clinical trials contracts. She primarily supports life sciences companies with the commercialisation of their intellectual property, as well as providing more general commercial support to clients across the tech and life sciences sectors. She works with clients at different stages of growth, from university spinouts to more established companies. In many cases Caroline has maintained relationships with clients from their early stages through to exit. Her key duties include: negotiating IP licences, including with university tech transfer offices; negotiating research and development contracts and associated contracts (such as material transfer agreements); regularly supporting clients with significant and high-value clinical trial contracts, including master services agreements with CROs, CDMO contracts, and clinical trial agreements; helping clients with their day-to-day general commercial needs, such as the preparation and negotiation of NDAs and services agreements; and supporting clients with IP due diligence during funding rounds (investor side and target side). Caroline has expertise in intellectual property law, holding an MSc in Intellectual Property from the University of Oxford (awarded with distinction). Her thesis focused on the English experimental use exemption to patent infringement and its applicability to early stage companies. She is an Australian-qualified lawyer. More Details Key Experience Supported Vicebio Limited, a long-standing client, with due diligence activities in connection with their $1.6 billion acquisition by Sanofi. Led negotiations for an English biotech company with a global CDMO regarding a $100 million vaccine manufacturing contract for phase 3 clinical supply. Led negotiations on a suite of key commercial contracts for an agritech software spinout (including an IP licence and a SaaS Agreement). Conducted an IP audit on a biotech client's service contract portfolio in preparation for a funding round. Negotiated a Clinical Trial Agreement and a Master Services Agreement with a CRO in connection with clinical trials for the client's catheter guidance technology.
