Insurance

We are acutely aware of how the insurance sector is changing: the impact of technology and digitisation, the rise of data protection and cyber security, the wave of new entrants into the market, and the rise and rise of regulation and compliance.

By looking at the wider commercial context that any legal matter sits in, we see the sector differently to other law firms. Instead of the traditional, narrow, reactive approach to legal matters, we take a broader, proactive one. It comes from thinking like the dynamic client businesses that we attract. (We understand this entrepreneurial mindset because it’s always been part of ours.)

As a result, we treat our insurance and financial services clients just like our entrepreneurial ones. So, we are not only active in all the areas you expect (M&A, regulatory and litigation) but also in new, emerging ones that are now critical to any forward-thinking insurance business:

We understand that such a complex, technical area of law needs non-lawyers as well as lawyers. So our team includes cyber security experts, cyber insurance underwriters and management consultants too, with an unrivalled level of experience and understanding of the insurance sector. As a result MDR Cyber reduces losses, recovers assets and protects reputations.

Our team of Data Theft specialists has 15 years' experience advising on and litigating large and high profile data theft cases, and is made up of experts from our fraud litigation and employment departments.

We regularly obtain the most powerful Court Orders available to protect our clients' businesses. We act fast. Depending on the nature and scale of the problem, injunctions can be obtained in hours, days or weeks.

Our competition practice advises claimants and defendants, individuals and institutions, on all aspects of competition law. We handle both Civil and Criminal investigations and are experts in managing investigations across a number of jurisdictions; choosing and dealing with overseas professionals on behalf of, and as the contact for, our clients.

We can also advise on injunctions if a business needs to stop anti-competitive conduct quicker than a regulatory route might achieve.

We treat a client’s claim as an asset to be recovered and use experienced economists, forensic accountants and financial analysts to investigate and provide comprehensive risk assessments. We devise proactive risk management strategies and compliance procedures so as to manage risk without stifling growth and innovation; our lawyers understand this dynamic and take the time to establish what is best for each organisation.

Mishcon de Reya boasts one of the largest Employment Departments in London, recognised for the quality of its expertise in acting in complex situations, both for and in relation to management and key employees.

We are regarded as top tier advisors to Senior Executives and act in market sensitive appointments, exits, high profile litigation and negotiating contracts and severance terms for some of the most prominent Senior Executives, CEOs and Board Directors of PLCs, within the insurance and financial services sectors. We are also a 'go to' firm for employers in this space, which means that we understand, and are market leaders at, dealing with sensitive exits or appointments, and we know how to handle allegations or dismissals that have the potential to be reputationally damaging at the most senior levels.

We frequently assist clients with navigating or litigating major team moves, including advising on acquiring teams without incurring liability or, conversely, protecting a business against poaching and the significant disruption and costs caused by raids on staff.

We have the expertise necessary to draft and advise on all kinds of restrictive covenants, and have significant experience in bringing and defending unfair competition actions on behalf of both employers and employees, using specialist injunctive proceedings where necessary.  We also work closely with our clients to conduct major disciplinary investigations involving accusations of insider dealing, market abuse and other misconduct.

The team manages the full spectrum of contentious and non-contentious employment law. Our practice encompasses day to day HR advisory, litigation, business restructures and transactions, TUPE, large scale strategic projects, executive remuneration, incentives, and business immigration.

We have the largest dedicated group of international injunction specialists in the UK, attaining more successful injunction applications than any other firm. Wherever possible we seek pre-emptive relief to locate and freeze assets and preserve evidence.

If you are a victim of fraud, reacting swiftly and decisively is essential. Decisions made within the first 48 hours of discovery of a fraud will make the difference between success and failure. Freezing assets and seizing evidence is absolutely critical to a successful fraud investigation.

We have developed our own international network of handpicked, best of breed fraud specialists, The International Fraud Group, which gives us a critical edge when securing piggyback injunctions in other countries. Our anti-fraud and counterfeiting product - Mishcon Tulip (Turning Losses into Profits) - remains the only anti-counterfeiting product devised by any law firm to combat the multi-billion dollar industry of international fraud and counterfeiting and is used by the largest companies across the world.

We advise both public and private insurance companies on matters including company sales and purchases; recommended takeovers; private equity transactions and restructurings. We work with the client, using our M&A and sector expertise and our network of connections, to identify opportunities, initiate negotiations and then guide the client through the process to a successful transaction.

While most of our work remains transactional, it’s the surrounding “soft advice” that makes a genuinely meaningful difference. Building a relationship, understanding and guarding a client’s interests, and always being on hand to advise deliver the real value.

There is a prominent international dimension to all of our work and we are culturally aware and have the logistical know-how to handle multi-jurisdictional deals.

We act for a diverse range of insurance businesses which face differing regulatory and financial crime risks and we have a team of robust regulatory lawyers who can advise on pre-emptive and contentious issues.

For many years senior executives establishing a base in the UK have relied on our advice and assistance to do so. We provide a complete service that combines our legal expertise with financial, property and lifestyle services to take care of all the personal and business needs that go with relocation.

We work closely with a network of trusted advisors, based both in the UK and abroad, including Quintessentially to ensure the move is seamless.

Our Private Equity Group acts for some of the UK's most established private equity houses and many new entrant investors, including family offices, sovereign funds and high net worth individuals, as well as investee companies and management teams.

We structure and negotiate all forms of private equity investments, such as MBO/MBI, growth/development capital investments, equity and debt restructurings and public-to-private transactions.

Our focus remains on the individuals behind the deal. We understand that the line between business and personal can often blur and that each member of the team will have their own hopes, fears and ambitions as the deal moves forward. Understanding these personal aspirations and concerns, enables us to guard our clients' interests and help navigate every transaction to their advantage.

Besides what we do, there is also the matter of how long we have done it for. We have decades of experience advising companies and individuals in this sector on all contentious and non-contentious aspects of their business.
