Mishcon advises The Freehold Corporation Limited on fundraising

Mishcon de Reya has announced that it advised The Freehold Corporation Limited (FHC) in relation to a substantial equity and preferred equity investment from Columbia Freehold LP, a US investment fund.

Columbia Freehold, LP is managed by Columbia Pacific Advisors, LLC which, alongside its affiliates, manages more than US$1bn of assets across a range of real estate, opportunistic, direct lending and hedged strategies.

The proceeds of the investment will be used by the FHC group to acquire real estate in the United Kingdom and Europe. FHC was founded by Ali Ettehadieh, an experienced principal in the real estate sector. Ali Ettehadieh will remain the CEO of FHC, and continue to drive its strategy forwards.

Corporate Legal Director, John Young, who led the team at Mishcon de Reya, commented "I was delighted to be asked to advise Ali on this transaction which will allow a step-change in his business.  The transaction gave rise to a number of interesting tax and regulatory issues, and also required us to implement a unique funding structure.  Ali and his team have a bright future ahead of them, and I look forward to continuing to work with them."

Ali Ettehadieh commented "John and his team's assistance on this deal was invaluable.  They quickly grasped the requirements of our US based investors and efficiently worked with our investors, their advisors, and our management team to incorporate these into our capital raising.  Throughout the process, Freehold Corp could draw from a wide range of expertise across Mishcon’s organisation including corporate law, capital markets, regulatory, tax law, and employment law to help us in the negotiations as well as execution. I was impressed by their efficiency, commercial sense, and good humour throughout the process."

Alongside John Young, the Mishcon de Reya team included Shantanu Sinha (Associate), Jenny Goodrich (Assistant), Eve Ellis (Partner), John Skoulding (Partner), Adam Rose (Partner), Helen Croft (Partner), Charlotte Davidson (Assistant), and Rachel Egharebva (Assistant).

Jonathan Lisle of DLA Piper (UK) LLP advised Columbia Freehold, LP.
