Andrew is an experienced corporate and commercial solicitor. He was called to the Bar in 2001 before transferring to become a solicitor and qualifying in 2003. He has worked on a succession of transactions for public and private companies, both in the UK and overseas. These include IPOs and secondary fundraisings on AIM, shareholder arrangements and M&A deals.

Since joining Mishcon de Reya in 2006, these transactions have covered a diverse range of industries: international wholesale food distribution, emerging fashion design, e-commerce, technology, media and utilities, as well as finance providers, start-ups and charities. Andrew also has valuable commercial experience, having twice been seconded to work as in-house counsel for clients. Andrew spent the majority of 2007 at ACP Capital, the AIM-listed integrated finance provider, where he was responsible for their legal and commercial arrangements. From July 2009 until early February 2010, Andrew was on secondment at American Express, working in their General Counsel's Office, drafting and negotiating contracts and advising internal business clients.

Key Experience

Advised Catalyst Property Investments Limited (a joint venture between GI Partners, Rowan Asset Management and Taurus Investments) on its £82.7 million acquisition of Aldwych Investments Limited, which owns the freehold of Aldwych House, London W1. In connection with the purchase, advised Rowan on its appointment as asset manager of Aldwych House, in which capacity it will oversee a major refurbishment of the building.
Advised Royal Unibrew A/S, the second largest brewery group and largest beer exporter in Scandinavia, on the sale of its majority interests in three breweries and a bottling plant in the Eastern Caribbean to a group based in the Dominican Republic.
Advised Osem UK Limited on its acquisition of the business of Yarden GB Limited, a leading distributor of kosher food in England.
Advised ACP Mezzanine Limited on its €80 million secondary fundraising, by way of a placing of new shares to new and existing institutional investors.
Advised existing client Amteus plc, the provider of private and secure IP based communications software to the education and business sectors, on its £1.8 million secondary fundraising on AIM and its £180,000 debt capitalisation.
Advised Lesley Steinitz, Andy Heather, Jeff Carson and Susan Carson on the sale of their shares in Picdar Group Limited (a provider of Digital Workflow and Asset Management solutions to newspapers and magazines) to NStein Technologies Inc.
Advised ArgentVive plc, the AIM-listed e-commerce group, on its £4.2 million secondary fundraising and acquisition of the entire issued share capital of Solcara Limited.
