Mishcon de Reya advises Bonjour Europe Limited on joint venture

Larry Nathan, Ross Bryson and Victoria Theaker advised Bonjour Europe Limited (a UK subsidiary of the US telecoms company BLS TEL Holdings LLC) on its joint venture and share warrant arrangements with AIM listed mobile VoIP provider, Vyke Communications plc. The warrants vest depending on the revenue and EBITDA generated by Bonjour over the next three years and could constitute up to 51% of the current fully diluted share capital. The transaction was announced on 12 July 2010.
